// INSTITUTIONAL GUIDE
Overnight Trading 101
U.S. equities trade around the clock. Four alternative trading systems operate overnight sessions, a fifth has filed to join them, the first 24-hour national exchange has been live since September 2025, and the SIP extends to 23x5 on December 6, 2026. Here is what institutional desks need to know.
1. The Overnight Landscape
The U.S. overnight equity session runs from 8:00 PM to 4:00 AM Eastern Time, Sunday through Friday. During these hours, four alternative trading systems (ATSs) match buyers and sellers in NMS-listed securities. Only BlueOcean runs a displayed book; Bruce, Moon and IBKR Eos are non-displayed. A fifth venue, IntelligentCross, filed to open an overnight session on August 31, 2026. Separately, 24X National Exchange has operated as a national securities exchange since September 29, 2025, and widens further when the Securities Information Processor (SIP) extends its hours on December 6, 2026.
Overnight trading is not new. Extended-hours sessions have existed since the late 1990s. What changed is scale. The combination of global investor demand, retail broker adoption, and venue competition has turned the overnight session from a thin afterthought into a structurally significant portion of U.S. equity volume.
The overnight session sits outside the SIP's current operating window (4:00 AM to 8:00 PM ET). Trades execute on ATSs and report through FINRA Trade Reporting Facilities (TRFs), but there is no consolidated national best bid and offer during these hours. This creates a fundamentally different market structure from the regular session.

3. Where Volume Actually Trades: ATS vs. Internalization
The overnight ATSs represent the off-exchange portion of overnight equity volume. But they are not the whole picture. A significant share of overnight order flow never reaches a lit venue. Instead, it is internalized by wholesale market makers.
The Internalization Channel
When a retail broker receives a customer order during overnight hours, that order does not necessarily route to an ATS. Many brokers have payment-for-order-flow (PFOF) or order routing arrangements with wholesale market makers. These firms execute the order against their own inventory (internalize it) and report the trade to a FINRA TRF.
The dominant wholesale market makers in U.S. equities include:
- ●Citadel Securities handles approximately 25-30% of all U.S. equity volume during regular hours. Their overnight operations internalize a substantial share of retail overnight flow, particularly from brokers with PFOF arrangements.
- ●Virtu Financial is the second-largest wholesaler. Virtu executes overnight orders from multiple broker clients and reports through TRFs.
- ●G1 Execution Services (Susquehanna) handles a smaller but growing share of wholesale execution, including overnight hours.
Internalized volume does not appear on ATS market data feeds. It reports to TRFs with the internalizer's MPID, not an ATS MPID. This means the overnight ATS data that platforms like Sapinover track represents the lit, venue-attributed portion of overnight activity. Total overnight equity volume, including internalized flow, is meaningfully larger than ATS volume alone.
What This Means for Institutional Desks
The split between lit ATS volume and internalized flow creates a two-tier overnight market:
- ●ATS lit volume is transparent, attributable to specific venues, and available for institutional participation. This is what Sapinover tracks across BlueOcean, Bruce, and Moon.
- ●Internalized volume is opaque, executed by wholesalers against their own books, and primarily serves retail order flow. FINRA Rule 606 reports from brokers provide some visibility into routing destinations, but execution quality data overnight is limited.
4. Retail Brokers and Overnight Routing
Retail broker adoption is the primary demand driver for overnight equity volume. The timeline of broker launches tells the story of how overnight went from niche to mainstream in under three years.
| BROKER | LAUNCHED | SYMBOLS | ROUTING |
|---|---|---|---|
| Interactive Brokers | May 2023 | 10,000+ U.S.-listed | Blue Ocean ATS (primary) |
| Robinhood | May 2023 | Select liquid names (expanded over time) | Blue Ocean ATS, Bruce Markets |
| Webull | 2023 | Extended hours universe | Blue Ocean ATS, Bruce Markets |
| Charles Schwab | 2024 (expanded) | Extended hours universe | Various (Citadel, Virtu internalization + ATS) |
| Fidelity | 2024 | Pre/post market universe | Various (extended hours) |
Routing Mechanics
Retail overnight orders follow one of two paths:
- ATS routing: The broker sends the order directly to an overnight ATS (Blue Ocean, Bruce, Moon) where it enters a lit order book and matches against other participants. The trade is transparent and venue-attributed.
- Wholesaler internalization: The broker routes to a market maker (Citadel, Virtu, etc.) who executes the order internally, typically providing price improvement relative to the ATS best bid/offer. The trade reports to a TRF but is not venue-attributed.
Brokers disclose their routing practices in quarterly FINRA Rule 606 reports. These reports show which venues and wholesalers receive order flow, though overnight-specific breakdowns are not always separated from regular-hours routing.
5. The Exchange 24x5 Race and SIP Extension
24X National Exchange
24 Exchange LLC filed its Form 1 application with the SEC in December 2023 to become the first 24-hour national securities exchange. The SEC granted approval in 2025 and 24X began live trading on September 29, 2025, starting with a small set of mega-cap symbols. It cannot run the full around-the-clock book until the Securities Information Processor extends its hours, which the SEC approved on July 7, 2026 for a production launch on December 6, 2026.
In April 2026, 24X filed a response letter urging the SEC to approve a temporary, conditional exemption that would allow 24X to launch overnight trading before the SIP extension is finalized. 24X CEO Dmitri Galinov noted that overnight trading already occurs on less-regulated venues with limited transparency, positioning the exchange as a regulated alternative to the existing ATS landscape.
SIP Extension
The Securities Information Processor (SIP) is the consolidated data feed that disseminates the National Best Bid and Offer (NBBO) and last sale data for NMS securities. It currently operates three sessions:
- Early Session: 4:00 AM to 9:30 AM ET
- Regular Session: 9:30 AM to 4:00 PM ET
- Late Session: 4:00 PM to 8:00 PM ET
The overnight session (8:00 PM to 4:00 AM ET) falls entirely outside SIP coverage. This means there is no consolidated NBBO during overnight hours, and trades execute without the regulatory protections that the SIP provides during regular and extended hours.
On July 7, 2026, the SEC approved both CTA and UTP Plan Amendments to extend SIP operating hours to near-24-hour coverage: Sunday 9:00 PM through Friday 8:00 PM ET, with a one-hour technical maintenance window (8:00 to 9:00 PM ET). Production launch is set for December 6, 2026. Six industry UAT testing weekends begin October 2, conducted over production multicast channels.
NYSE, Nasdaq, and CBOE
The major U.S. exchange groups are preparing for 24-hour trading:
- ●NYSE (ICE) has signaled interest in extended-hours trading through NYSE Arca. NYSE Arca already operates pre-market (4 AM) and post-market (8 PM) sessions that bookend the regular session.
- ●Nasdaq powers Bruce Markets' overnight matching engine and has infrastructure ready for extended-hours operation. Nasdaq's TRF Carteret already processes overnight ATS trade reports.
- ●CBOE has filed proposals for extended trading hours on CBOE EDGX. CBOE already operates 24x5 in U.S. equity options.
Texas Stock Exchange (TXSE)
TXSE, a new national securities exchange based in Dallas, has also entered the conversation around extended-hours trading. While its primary focus is on listings and regular-session trading, the competitive pressure from 24X and the SIP extension may accelerate TXSE's own extended-hours plans.
6. Volume Growth and Market Structure Shift
Overnight equity volume has grown from a negligible share of daily activity to a structurally significant portion of U.S. trading. The growth has been driven by three forces:
Retail
Broker adoption (IBKR, Robinhood, Schwab, Webull) brought millions of retail accounts into the overnight session.
Global
Asian and European investors want to trade U.S. equities during their local business hours. Overnight sessions align with Tokyo and London trading days.
Events
Earnings releases, geopolitical events, and macro data often hit outside regular hours. Overnight venues provide immediate liquidity for price discovery.
From the Sapinover Pipeline
Sapinover has tracked overnight ATS volume daily since September 2025 across three of the four venues (BlueOcean, Bruce and Moon). Key observations from the dataset:
- ●The number of unique symbols trading overnight across the three ATSs exceeds 4,000 on active sessions.
- ●BlueOcean remains the dominant venue by notional volume. Bruce Markets has grown rapidly since its 2024 launch, now frequently matching BlueOcean on symbol count.
- ●ETFs represent a significant share of overnight activity, with the top 10 by overnight notional typically including SPY, QQQ, IWM and leveraged products. Composition moves with venue symbol availability: BlueOcean made 18 symbols unavailable from the session beginning August 31, 2026, among them SOXL, which had been the second largest name on the overnight tape.
- ●Overnight sessions following major macro events (FOMC, CPI, earnings clusters) show measurably higher volume and wider overnight gap patterns.
7. Why Institutional Desks Should Care
Overnight Price Discovery
Prices do not wait for the opening bell. Academic research has documented that a meaningful portion of daily price discovery occurs outside regular trading hours. The overnight session establishes the opening price through ATS VWAP levels that often predict the direction and magnitude of the next-day gap. Sapinover measures this as the timing differential: the basis-point spread between overnight ATS VWAP and the next regular-session open.
The Overnight Gap
The gap between a stock's previous close and next open is one of the most consistent patterns in equity markets. Overnight ATS activity provides a real-time window into how that gap is forming. Institutional desks that monitor overnight flows can gauge opening conditions hours before the regular session.
Execution Quality Considerations
Overnight markets are thinner than regular sessions. Spreads are wider, depth is shallower, and volatility can spike on low liquidity. However, the cost of not participating may exceed the cost of wider spreads. A portfolio manager who ignores overnight price action and executes entirely at the open may systematically miss favorable entry points that were available overnight.
Information Asymmetry
Overnight data is undermonitored. Most institutional analytics platforms do not cover the overnight session. Desks that incorporate overnight ATS data into their pre-market workflow gain an information edge over those relying solely on pre-market ECN activity starting at 4 AM. The overnight ATS landscape produces observable signals hours before the traditional pre-market session begins.
The Structural Question
As the SIP prepares to extend to near-24-hour coverage and national exchanges enter the overnight session, the structural gap between “overnight” and “regular hours” will narrow. Institutions that build overnight monitoring capabilities now will be better positioned than those that scramble to adapt when 24-hour exchange trading becomes the default.
